    Terms

Every company gets the same deal.

No custom structures. No one gets better terms because they negotiated harder. You'll have the actual numbers on the first call, and they'll be the same numbers we gave the company before you.

    Structure

    How we get paid.

A fee during the build period

The first stretch is the heaviest lifting and it produces the least revenue. The fee covers the team while we build the machine.

Then a share of the new revenue we create

We set your baseline at signing, in writing, as a number. Everything above it is what we built. We take a share of it, and we take nothing on the revenue you already had.

Then equity, once we hit the target

When the machine reaches the number we agreed to, we earn a warrant in your company and the revenue share ends.

    Then we leave

You keep the machine and the team we hired into it. If you want us to stay in a smaller capacity, there's a way to do that. It's your choice, and the price is set before we start so nobody is negotiating from a weak position at the end.

    Reasoning

    Why it's structured this way.

Because a retainer pays the same whether it works or not

Ours doesn't. If we don't create revenue, we don't get paid, and there is no version of this where we're comfortable and you're not.

    Because it should end

An agency wants you forever. We're contracted to leave, and the equity means we care what happens after we're gone.

Because you shouldn't have to guess whether you got a good deal

Same terms, same structure, every company.

    Spend

    What you fund.

We fund the labor. You fund media, tooling, and events, because that spend is yours and it stays yours when we leave.

    Before you commit

What we tell you before you commit.

The baseline number, in writing. What we can change without asking. What happens if we miss the target. How either side ends it. What the equity is and when it triggers.

None of that is a surprise on signing day. It's covered on the first call.
